Please read these Terms of Service carefully before engaging with ISALA84 Transportation LLC. By utilizing our freight transportation, warehousing, or logistics management services, you acknowledge that you have read, understood, and agreed to be bound by the following professional freight agreement.
1. Definitions
In this transportation policy, the following terms shall apply:
- "ISALA84" refers to ISALA84 Transportation LLC, based in Orlando, FL.
- "Client" refers to the individual or entity requesting logistics or transportation services.
- "Consignee" refers to the person or entity to whom the cargo is being delivered.
- "Services" includes, but is not limited to, haulage, freight forwarding, distribution, and warehousing.
2. Scope of Services & Quotations
ISALA84 agrees to perform the logistics services as specified in the service agreement or individual quotation. Quotations are based on the information provided by the Client and are subject to change if the actual weight, volume, or nature of the cargo differs from the original disclosure.
Quotations are valid for 30 days unless otherwise specified in writing. ISALA84 reserves the right to select the route and means of transportation at its professional discretion to ensure optimal delivery efficiency.
3. Client Responsibilities
The Client is solely responsible for ensure the accuracy of all documentation and the integrity of cargo preparation. This includes:
3.1 Packaging and Labeling
All items must be packaged, marked, and labeled according to industry standards for the specific mode of transit. ISALA84 is not responsible for damage resulting from insufficient packaging.
3.2 Documentation
The Client must provide all necessary information, permits, and documentation required for federal and state compliance. Any delays or fines resulting from improper documentation will be the sole responsibility of the Client.
4. Payment, Invoicing, and Credit Terms
Invoices are issued upon receipt or delivery of cargo depending on the specific service level agreement. Standard payment terms are net 15 days from the date of invoice, unless credit terms have been formally extended in writing.
Late payments are subject to a late fee of 1.5% per month. ISALA84 maintains a carrier's lien on any goods shipped for all charges due and payable under this agreement.
5. Liability, Insurance, and Cargo Claims
ISALA84 maintains standard motor carrier liability insurance as required by Florida state and federal law. Our liability for loss, damage, or delay to cargo is strictly limited to the cargo’s depreciated value or established industry limits, whichever is less, unless additional valuation is declared and paid for in advance.
Claims Process: All claims for loss or damage must be filed in writing within 15 days of delivery. Visible damage must be noted immediately on the Bill of Lading at the time of delivery.
6. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida. Any legal action or proceeding related to this agreement shall be brought exclusively in the courts located in Orange County, Orlando, FL.
7. Confidentiality
ISALA84 and the Client agree to maintain the confidentiality of all proprietary information, including pricing, specialized shipping processes, and client lists, shared during the course of their business relationship.
